Use the following form to register a Minnesota Business Corporation.

If forming a Public Benefit Corporation as a 302A and 304A, please note that forms are not available for this filing type. New articles must contain all the elements required for a business corporation and the additional 304A requirements in section 304A.101. Articles to form as Public Benefit Corporation must be submitted either by mail or at the counter.

NOTE: If forming a Minnesota Business Corporation that will be a "Professional firm", additional language is required in your articles. A Professional firm must state the firm elects to operate under and is subject to Section 319B0.1 to 319B.12 or that the firm elects to operate under and is subject to the Minnesota Firms Act. The firm must include a list of the professional service the firm is authorized to provide.

Use this form to amend or modify the Articles of Incorporation. The amendment of articles must specify what were adopted and which article(s) being amended or added. The corporation must be in good standing to file an amendment to articles.

 Use this form to change the registered office address and/or the registered agent.  Use this form to change the registered office address and/or the registered agent. A registered office address in Minnesota is required. A post office box by itself is not acceptable. If designating a registered agent, it must be a person residing in Minnesota, a Minnesota entity, or foreign entity authorized to do business in this state.

Use this form to file your annual renewal once every calendar year. There is no fee for filing the annual renewal if the entity is active and in good standing. An entity that has been dissolved by our office for failure to file an annual renewal, may retroactively reinstate its existence by filing the current year’s renewal and pay the applicable fee. If changes to the business name or registered office and/or agent, an amendment form is required.

Use this form to dissolve the corporation when shares have not been issued.

Use the Intent to Dissolve form to provide notice that the company is in the process of dissolving. Filing the Intent to Dissolve does not dissolve the corporation.

Use this form to dissolve a corporation that have issued shares. When this form is submitted, the corporation must have already filed or be accompanied by an “Intent to Dissolve’ filing.

Use this form to convert a Minnesota Business Corporation into another organization. You must include a copy of the proposed Articles of Incorporation or Articles of Organization for the new entity.

Use this form to file your annual Benefit Report in order to maintain your public benefit status. This is required by Minnesota Statues, section 304A.301, and is in addition to the normal business corporation annual renewal. The Public Benefit annual report is required to be filed between January 1st and March 31st. Failure to file the annual report by March 31st will result in the revocation of the corporation's public benefit status. For further information please see Minnesota Statues, Section 304A.301.

A consent form is required if there is a conflict between the business name you are filing and an existing business name. The existing business needs to consent to your use of the name. A consent form needs to be submitted along with the original filing or amendment you wish to record.

Use this form to change the official email address that was provided in your filing. This email address may be used to send annual renewal reminders and other important notices that may require action or responses.
